Scope
These terms apply to all offers, quotations and agreements of Green Origin Trading, Chamber of Commerce 99337932, based at Heerbaan 14 in Breda.
Deviations apply only where we have confirmed them in writing. Buyers' purchasing conditions are expressly rejected.
Offers and quotations
All offers are without obligation and based on the lot available at that time. A quotation is valid for the period stated on it; if no period is stated, fourteen days.
Prices move with harvest and market. We do not work with fixed price lists and quote per request.
Prices and payment
Prices are in euros, excluding VAT and excluding transport, unless stated otherwise.
Payment is due within fourteen days of the invoice date. For a first order we may require payment in advance. Late payment incurs statutory commercial interest and reasonable collection costs.
Delivery
Delivery takes place on the agreed day, within the Benelux, unless otherwise arranged. Stated lead times are indicative and not strict deadlines.
Risk in the goods passes on delivery, or on collection at the moment the goods are made available at Heerbaan 14.
Specification and quality
All products are organically certified under the EU regulation for organic production. Every lot carries a lot number with origin, grower or processor and harvest year.
Natural products vary in colour, calibre and taste. Variation within the agreed specification is not grounds for rejection.
Complaints
Visible defects must be reported within two working days of delivery, other defects within ten working days of discovery, quoting the lot number.
Where a complaint is justified we replace the lot or credit the invoice value. Our liability is limited to the invoice value of the lot concerned.
Force majeure
In the event of force majeure, including failed harvests, export restrictions, transport disruption and government measures, our obligations are suspended. If force majeure lasts longer than two months, either party may terminate the agreement without compensation.
Governing law
Dutch law applies to our agreements. Disputes are submitted to the competent court in the Zeeland-West-Brabant district.
